Terms and Conditions

1. Introduction

Welcome to Educan. These Terms and Conditions ("Terms") govern your access to and use of the cloud-based school management software and related services provided by Educan ("we," "us," or "our") at educan.io. By accessing or using our platform, you agree to be bound by these Terms. Educan is a technology service provider; we do not act as a financial intermediary. Payments for subscriptions and student fees are processed through Razorpay accounts owned by individual schools.

2. User Eligibility

You must be at least 18 years of age and have the authority to bind your institution (school, coaching institute, or other educational organization) to these Terms. Use of the platform by students and parents is facilitated through their respective schools; such users must comply with these Terms and any institution-specific policies. Access from India or other jurisdictions must comply with applicable local laws.

3. Subscription Terms

Schools and institutions subscribe to Educan to use the platform. Subscription plans, features, and limits are as described on our website or in your order. You are responsible for maintaining the accuracy of your account information and for all activities under your account. We reserve the right to modify subscription offerings with reasonable notice; continued use after changes constitutes acceptance.

4. Payment Terms (SaaS Subscription)

Subscription fees for the Educan platform are as per the plan selected by your institution. Payments are processed via Razorpay or other designated payment methods. You agree to provide accurate billing information and to pay all fees when due. Failure to pay may result in suspension or termination of access. All fees are non-refundable unless otherwise stated in our Refund and Cancellation Policy or required by law.

5. No Liability for School Transactions

Educan does not hold or process funds on behalf of schools. Student fee collections and other financial transactions between schools and parents/students are processed through each school's own Razorpay (or other) account. Educan is not a party to those transactions and is not responsible for refunds, chargebacks, or disputes arising from school fee payments. Any such issues must be resolved between the school, the payer, and the payment processor.

6. Intellectual Property

All intellectual property rights in the Educan platform, including software, design, content, and branding, remain the property of Educan or its licensors. You receive a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms. You may not copy, modify, distribute, reverse-engineer, or create derivative works from our platform except as expressly permitted.

7. Termination Policy

You may terminate your subscription in accordance with our cancellation process. We may suspend or terminate your access for breach of these Terms, non-payment, or for any reason with reasonable notice where required. Upon termination, your right to use the platform ceases. Provisions that by their nature should survive (e.g., intellectual property, limitation of liability, governing law) will survive termination.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Educan and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunity, arising from or related to your use of the platform. Our total liability for any claims arising under these Terms shall not exceed the amount you paid to Educan in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the fullest extent permitted by law.

9. Governing Law (India)

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The courts of India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Educan platform.

10. Dispute Resolution

In the event of a dispute, the parties shall first attempt to resolve it through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be in India, and the proceedings shall be conducted in English.

11. Razorpay and Indian SaaS Compliance

Use of Razorpay for payment processing is subject to Razorpay's terms and applicable RBI and regulatory guidelines. Educan does not act as a payment aggregator or financial intermediary; we only provide technology that enables schools to use their own Razorpay accounts. You are responsible for complying with applicable tax and regulatory requirements for your institution.
